Terms of Service – Facebook Publishing

1. Eligibility and Accounts

The Service is intended for businesses and professional users. By using the Service, you confirm that:

• You are at least 18 years old and have the legal capacity to enter into these Terms.
• If you are using the Service on behalf of a business (a "Store Owner"), you have authority to bind that business to these Terms, and "you" refers to both you personally and the business.
• You have a valid NovaStores account and, where required, the necessary Facebook / Meta accounts, Pages, permissions, and access rights.

Store Owners are responsible for managing access for their team members and staff within NovaStores, including roles, permissions, and any actions taken by such users through the Service.

2. Description of the Service

The Service enables you and your authorized team members to:

• Create and publish product posts, promotions, and other content from NovaStores to Facebook.
• Automate and schedule posts (for example, when a new product is created or a promotion is launched).
• Update or remove published content on Facebook using actions performed within NovaStores.
• Sync certain product data, images, prices, and promotions between your NovaStores store and Facebook (where such features are made available).

NovaStores may update, enhance, or modify the Service from time to time, including adding, changing, or removing features at NovaStores' discretion.

3. Connection to Facebook and Permissions

To use the Service, you may be required to connect one or more Facebook accounts, Business Managers, Pages, catalogs, or related Meta assets. When you connect these accounts, you:

• Authorize NovaStores to access and use your Facebook data and assets to the extent necessary to provide the Service, in accordance with these Terms and our Privacy Policy.
• Grant NovaStores permission to create, edit, publish, schedule, and delete posts and other content on your connected Facebook Pages or assets as triggered by your actions, your configuration, or your automated rules within NovaStores.
• Authorize NovaStores to retrieve limited metrics, insights, or status information from Facebook (for example, whether a post was published successfully).

You can revoke NovaStores’ access at any time via your Facebook settings and/or your NovaStores account. Revoking access may disable or limit the Service for your store.

4. Your Content and Responsibilities

"Content" means any products, promotions, text, images, videos, links, pricing information, offers, or other material that you or your team create, upload, or configure in NovaStores for publishing to Facebook.

You are solely responsible for:

• The accuracy, legality, and completeness of all Content you create or publish using the Service.
• Ensuring that your Content complies with all applicable laws, regulations, and industry rules, including advertising, consumer protection, pricing, promotions, and intellectual property laws.
• Ensuring that your Content complies with Facebook’s Community Standards, Commerce Policies, Advertising Policies (if applicable), and all other Meta policies and guidelines.
• Obtaining any necessary rights, licenses, and permissions (including consent for marketing communications) from third parties before you use their content or data in your posts.

NovaStores does not review or approve Content before it is published and is not responsible for any mistakes, omissions, or legal issues arising from your Content or its publication on Facebook.

5. License to NovaStores

You retain ownership of your Content. However, by using the Service, you grant NovaStores a worldwide, non-exclusive, royalty-free license to use, reproduce, display, transmit, and otherwise process your Content solely as necessary to:

• Provide, operate, and improve the Service and related NovaStores features.
• Publish, update, and remove your Content on Facebook and related Meta platforms, as configured by you.
• Generate logs, backups, and internal analytics related to your use of the Service (in aggregated or de-identified form where appropriate).

6. Acceptable Use and Prohibited Activities

You must use the Service in a lawful, responsible manner. You agree not to:

• Use the Service for any illegal activity or in violation of any applicable law or regulation.
• Publish Content that is fraudulent, deceptive, misleading, defamatory, hateful, harassing, discriminatory, obscene, or otherwise objectionable.
• Publish Content that infringes or misappropriates any intellectual property, privacy, or other rights of any person or entity.
• Circumvent or attempt to circumvent Facebook or Meta’s technical limitations, rate limits, or security rules.
• Interfere with or disrupt the integrity or performance of the Service or any connected systems or networks.
• Reverse engineer, decompile, or attempt to derive the source code of the Service.

NovaStores may, but is not obligated to, monitor use of the Service and may suspend or terminate access if NovaStores reasonably believes that you have violated these Terms or pose a risk to the Service, NovaStores, other users, or third parties.

7. Facebook / Meta Terms and Third-Party Services

The Service depends on Facebook and other Meta platforms and APIs, which are provided by third parties that NovaStores does not control. Your use of Facebook and Meta services is subject to their separate terms, policies, and privacy practices, including but not limited to:

• Facebook Terms of Service and Community Standards.
• Meta Business Tools Terms, Commerce Policies, and Advertising Policies (where applicable).
• Any other policies referenced by Facebook or Meta for business and developer use.

NovaStores is not affiliated with or endorsed by Facebook or Meta. NovaStores has no control over, and is not responsible for, any changes to Facebook or Meta services, APIs, or policies that may affect or limit the functionality of the Service.

8. Data and Privacy

NovaStores’ collection, use, and sharing of personal data in connection with the Service are described in the NovaStores Privacy Policy. By using the Service, you acknowledge and agree that NovaStores may process data related to your Facebook connections, Content, and account activity in accordance with that policy.

As a Store Owner, you are responsible for:

• Providing any necessary privacy notices to, and obtaining any required consents from, your customers, staff, or other data subjects in connection with your use of the Service.
• Ensuring that your use of the Service and Facebook integrations complies with applicable data protection and privacy laws.

9. Fees and Payment

NovaStores may offer the Service as part of a paid subscription plan or as an add-on subject to separate fees. Any applicable fees, billing terms, and payment schedules will be described in your NovaStores account, order form, or subscription plan.

You are also responsible for any charges or fees imposed by Facebook, Meta, or other third parties in connection with your use of their services (for example, advertising spend, boosted posts, or catalog fees).

10. Availability, Modifications, and Maintenance

NovaStores aims to keep the Service available and functioning, but availability may be affected by factors including maintenance, changes to Facebook APIs, outages, or other events beyond NovaStores’ control.

NovaStores may modify, suspend, or discontinue all or part of the Service at any time, including if required by changes in Facebook or Meta policies or technical requirements. When feasible, NovaStores will provide reasonable notice of material changes.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, NovaStores and its affiliates, suppliers, and licensors disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

NovaStores does not warrant that the Service will be uninterrupted, error-free, secure, or that all posts or Content will be published successfully on Facebook. You acknowledge that failures, delays, or changes in Facebook or Meta services may affect the performance of the Service.

12. Limitation of Liability

To the fullest extent permitted by law, NovaStores and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service.

To the extent permitted by law, NovaStores’ total aggregate liability for any claim arising out of or relating to the Service or these Terms will be limited to the amount paid by you for the portion of the Service giving rise to the claim during the twelve (12) months preceding the event first giving rise to the claim, or an alternative amount specified by applicable law, whichever is lower.

13. Indemnification

You agree to indemnify, defend, and hold harmless NovaStores and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your Content or your use of the Service.
• Your violation of these Terms or any applicable law or regulation.
• Your violation of any Facebook / Meta terms or any rights of a third party (including intellectual property, privacy, or publicity rights).

14. Term and Termination

These Terms apply for as long as you use the Service. You may stop using the Service at any time by disabling the Facebook integration in your NovaStores account and/or disconnecting NovaStores from Facebook.

NovaStores may suspend or terminate your access to the Service (in whole or in part) if:

• You materially breach these Terms or any other NovaStores terms or policies.
• NovaStores reasonably believes your use of the Service poses a security risk, legal risk, or harm to NovaStores, other users, or third parties.
• NovaStores is required to do so by law or due to changes in Facebook / Meta policies or technical conditions.

15. Changes to These Terms

NovaStores may update these Terms from time to time. When NovaStores does so, NovaStores will update the "Last updated" date at the top of this page and may provide additional notice (for example, within your NovaStores dashboard or by email).

Your continued use of the Service after updated Terms become effective means you accept the changes. If you do not agree with the updated Terms, you must stop using the Service and disconnect your Facebook integrations.

16. Governing Law and Disputes

These Terms are governed by the laws of [Jurisdiction], without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service will be resolved in the courts of [City, Country], unless applicable law requires a different forum.

You and NovaStores agree to submit to the personal jurisdiction of such courts and waive any objections to venue or forum.

17. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

NovaStores’ failure to enforce any right or provision under these Terms will not be deemed a waiver of such right or provision. You may not assign or transfer these Terms or any rights or obligations hereunder without NovaStores’ prior written consent.
